1. Acceptance of Terms

By accessing, browsing, or using the Site in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you must immediately discontinue use of the Site. By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Services

The Site provides information about HPSA Pro's professional consulting services related to Health Professional Shortage Area (HPSA) designations, federal shortage area programs, and related regulatory compliance matters. The Site also offers online calculator tools and educational content regarding HPSA designations, the National Health Service Corps (NHSC), Medically Underserved Areas and Populations (MUA/MUP), and related federal programs. Such content is provided for general informational purposes only.

No Professional-Client Relationship. Access to or use of the Site, the calculator tools, or any content on the Site does not create a consulting, advisory, or other professional relationship between you and HPSA Pro. No such relationship is formed until HPSA Pro and a client have executed a written engagement agreement.

3. Calculator and Online Tools

The calculator tools available on the Site are provided solely for informational and educational purposes. Results generated are preliminary estimates only and do not constitute professional consulting advice, healthcare compliance advice, regulatory guidance, or a professional HPSA designation analysis. Tool outputs are generated using publicly available federal data sources and may not reflect the most recent data. HPSA Pro does not guarantee the accuracy, completeness, or fitness for any particular purpose of any estimate or output generated by the tools.

You expressly acknowledge that you shall not solely rely upon tool outputs or any other content on this Site when making decisions affecting healthcare facility operations, federal program participation, grant or loan applications, or any other material business or healthcare decision.

4. Intellectual Property

The Site and all of its contents, features, and functionality — including text, graphics, logos, images, data compilations, software, calculator methodology, and analytical frameworks — are the proprietary property of HPSA Pro LLC and are protected by applicable intellectual property laws. Certain underlying data incorporated into the tools originates from federal government sources in the public domain; however, HPSA Pro's selection, analysis, compilation, scoring models, and presentation of such data constitute original works proprietary to HPSA Pro LLC.

“HPSA Pro,” the HPSA Pro logo, and all related names, logos, and designs are trademarks of HPSA Pro LLC. You may not use such marks without prior written permission.

5. Disclaimer of Warranties

The Site, the tools, and all content and services provided through the Site are provided on an “as is” and “as available” basis, without any representation, warranty, or condition of any kind, express or implied. HPSA Pro expressly disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. HPSA Pro makes no representation or warranty that the Site or its content is accurate, complete, reliable, current, or error-free, or that tool results will accurately predict or match scores or designations assigned by HRSA.

6. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall HPSA Pro LLC, its members, managers, officers, employees, agents, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages of any kind, including loss of revenue, loss of profits, or loss of data — regardless of the theory of liability — even if HPSA Pro has been advised of the possibility of such damages. HPSA Pro shall not be liable for any claim arising out of any decision made in reliance upon content on the Site or results generated by the tools. HPSA Pro's total cumulative liability shall not exceed the greater of one hundred dollars ($100.00) or the total fees paid by you to HPSA Pro in the twelve months preceding the claim.

7. Engagement Process

Contact form submissions and inquiries through the Site are requests for information only and do not constitute a binding engagement. Professional consulting engagements with HPSA Pro are governed by separately executed written agreements that define scope, deliverables, timeline, and fees. No work is commenced until a written engagement agreement is in place.

8. Privacy and Data Practices

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. HPSA Pro does not collect, store, or transmit Protected Health Information (PHI) through this Site.

9. Modifications

HPSA Pro reserves the right to modify these Terms at any time. Modified Terms will be effective immediately upon posting to the Site. Your continued access to or use of the Site following the posting of revised Terms constitutes your acceptance of and agreement to be bound by the revised Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. You irrevocably consent to the exclusive personal jurisdiction of the state courts of Fulton County, Georgia, or the United States District Court for the Northern District of Georgia, Atlanta Division. Any claim or cause of action arising out of these Terms must be filed within one (1) year after such claim arose.
